Scope: Software Licensing & Website Use
1. Acceptance of Terms & Eligibility
By downloading, installing, accessing, or using DukanBILL Desktop or our website (https://dukanbill.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the software.
You must be at least 18 years of age and legally competent to enter into a binding contract under Indian law. If you are using DukanBILL on behalf of a company, partnership firm, or sole proprietorship, you represent and warrant that you have full authorization to bind such business entity to these terms.
Customer Accounts & Authentication: To manage software license activations, recover lost license tokens, and review transaction history, you may establish a user account on DukanBILL.com using Google Identity Services (OAuth 2.0) or email verification. You are responsible for safeguarding your login credentials and for all activities conducted under your registered account.
2. Grant of Software License & Device Binding
Subject to payment of applicable commercial license fees (or during an authorized evaluation trial), DukanBILL grants you a limited, non-exclusive, non-transferable (except as expressly provided herein), revocable license to install and execute DukanBILL Desktop for internal commercial business operations.
- Single PC Limitation: Each commercial license is bound to one (1) registered computer identified by its unique cryptographic Machine ID (
MPOS-XXXX-XXXX-XXXX).
- Offline Functionality: Once activated, DukanBILL operates fully offline. An active internet connection is not required for daily billing, barcode scanning, printing receipts, managing inventory, or generating ledger reports.
- Activation Requirements: Applying a new license key requires entering the cryptographic token into the application. While tokens are cryptographically self-verifying and can be entered offline, acquiring the token and checking software updates require occasional internet access.
3. Confirmed License Tiers, Validity & Expiry
DukanBILL Desktop offers the following verified commercial license models:
- 30-Day Evaluation Free Trial: An initial trial period of 30 calendar days allowing complete evaluation of billing, barcode generation, inventory management, thermal printing, and GST reporting features prior to commercial purchase.
- Annual Commercial Licence (1 Year): ₹3,999 for 1 year of commercial use. Valid for 365 calendar days from activation.
- 10-Year Commercial Licence (10 Years): ₹34,999 for 10 years of commercial use. Valid for 3,650 calendar days from activation.
Mandatory 90-Day (3-Month) License Claim & Redemption Window:
All digital commercial licenses purchased on DukanBILL.com must be claimed and activated on the registered Machine ID within ninety (90) calendar days (3 months) from the date of purchase. If a digital license token is not redeemed within this 90-day window, the unredeemed token will automatically expire and be archived. Once activated on the machine, the full commercial license period (365 days or 3,650 days) takes effect.
Strict Policy: No Lifetime Licence
DukanBILL does not offer lifetime or perpetual licenses. The 10-Year Commercial Licence is a fixed ten-year term licence with a definite expiry date. It does not confer permanent, perpetual, or open-ended validity. When any commercial licence term (1 year or 10 years) concludes, a licence renewal is required for uninterrupted bill generation.
4. Machine Replacement & License Transfer Policy
Because licenses are bound to hardware-derived Machine IDs:
- Hardware Changes: Significant hardware changes (such as motherboard replacement or CPU upgrade) will alter your Machine ID and may cause the software to report an unactivated status.
- Replacement PC Transfer: In the event of genuine computer failure, formatting, or hardware replacement, merchants may request a license transfer to a new Machine ID by contacting our official support desk (support@dukanbill.com or WhatsApp +91 87578 88037).
- Administrative Verification: Transfers are subject to manual administrative review and verification of original purchase details to prevent unauthorized license duplication or sharing.
- Permitted Transfer Limit: To accommodate legitimate hardware upgrades while preventing software duplication, merchants are permitted up to one (1) machine transfer per license per calendar year upon verified support review. Requests exceeding this limit or failing purchase verification will require an additional license.
5. License Expiry & Merchant Data Sovereignty
When a commercial license expires (at the conclusion of the 1-year or 10-year term) and is not renewed:
- Creation of New Bills Restricted: In accordance with verified software behavior, the ability to generate new retail and commercial bills is restricted until a valid renewal license token is activated.
- Your Records Are Never Held Hostage: DukanBILL will never lock, encrypt, wipe, or delete your historical business records. You retain full read, search, and export access to your local SQLite database (
margpos.db), customer khata balances, supplier transactions, and past sales invoices directly on your machine.
6. Merchant Responsibility for Local Data & Backups
DukanBILL is an offline-first desktop application. We do not maintain a cloud mirror of your store database.
- Mandatory Backups: You are solely responsible for creating regular, external backups of your business database using DukanBILL's built-in 1-click backup feature (to external storage such as USB drives, pen-drives, or secure cloud drives).
- Hardware Failure: DukanBILL is not liable for data loss caused by computer crashes, hard drive failure, operating system corruption, ransomware, theft, or unauthorized physical access to your hardware.
7. GST & Tax Compliance Responsibility
DukanBILL provides automated tools to calculate CGST, SGST, IGST, cess, and compile GSTR-1, GSTR-2B, and ITC summaries.
- Merchant Review Duty: Tax rates, HSN/SAC codes, and invoicing rules are configured by the user. You are solely responsible for verifying the accuracy of tax rates applied to your products and ensuring compliance with applicable Goods and Services Tax (GST) regulations in India.
- No Financial/Legal Advisory: DukanBILL does not provide legal, taxation, or accounting advice. Software outputs should be reviewed with a qualified Chartered Accountant or tax professional.
8. Prohibited Misuse & Reverse Engineering
You agree that you will not:
- Reverse engineer, decompile, disassemble, or attempt to derive the private cryptographic signing keys or bypass the licensing verification logic of DukanBILL.
- Distribute, sell, lease, sublicense, or share your license key or software activation tokens with unauthorized third parties.
- Modify or create derivative works based upon DukanBILL Desktop.
- Use DukanBILL for any unlawful, fraudulent, or prohibited commercial enterprise under Indian law.
9. Authoritative Pricing, Payments & Taxes
- Confirmed Commercial Pricing Schedule:
- Annual Licence: ₹3,999 for 1 year (365 days).
- 10-Year Licence: ₹34,999 for 10 years (3,650 days).
- No lifetime licenses, unverified tiers, or unauthorized promotional discounts are offered.
- GST Status & Tax Invoicing:
DukanBILL is a registered Micro Enterprise (Proprietary: Aditya Raj, Udyam: UDYAM-BR-30-0097856) currently operating under the statutory GST registration threshold under Section 22 of the Central Goods and Services Tax (CGST) Act, 2017. Displayed prices (Annual ₹3,999 and 10-Year ₹34,999) are net prices issued without charging GST. If GST registration is completed in the future, invoices will reflect applicable GST in accordance with statutory rules.
- Payment Processing Coming Soon: Automated payments on DukanBILL.com will be processed through authorized payment aggregators (e.g., Razorpay). Raw payment credentials are never handled or stored by DukanBILL.
- Refunds: All refund requests, payment disputes, and chargebacks are governed by our separate Refund & Cancellation Policy.
10. Software Updates & Support
- Updates: We may release software patches, security fixes, and new features during your active license term. Updates are distributed via our official update channel. Certain updates may be required for continued optimal compatibility with changing Windows versions.
- Technical Support: Support is available via WhatsApp (+91 87578 88037) and email (support@dukanbill.com / dukanbillx@gmail.com). Support covers software installation, license activation, and standard printer setup. It does not cover repairing faulty merchant hardware or damaged third-party operating systems.
11. Disclaimer of Warranties & Limitation of Liability
To the maximum extent permitted by applicable Indian law (including the Consumer Protection Act, 2019):
- As-Is Provision: DukanBILL Desktop is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, statutory, or implied, including but not limited to implied warranties of merchantability, fitness for a particular commercial purpose, or error-free operation.
- Liability Cap: In no event shall DukanBILL, its proprietors, developers, or affiliates be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, lost revenue, lost business records, or equipment downtime, arising out of the use or inability to use the software.
- Aggregate Monetary Limit: In all circumstances, our maximum aggregate liability to you for any verified claim arising out of these terms shall be limited to the actual amount paid by you for the software license during the preceding twelve (12) months.
- Statutory Consumer Rights: Nothing in these terms is intended to exclude or restrict non-waivable statutory rights to which you are entitled under mandatory consumer protection laws of India.
12. Governing Law & Dispute Resolution
These Terms of Service and any commercial transactions hereunder shall be governed by and construed in accordance with the substantive laws of the Republic of India.
Dispute Resolution & Jurisdiction:
Any dispute, controversy, or claim arising out of or relating to these Terms of Service, software licensing, or technical operation shall be governed by and construed in accordance with the substantive laws of the Republic of India, and shall be subject to the exclusive jurisdiction of the competent courts of law at Samastipur, Bihar, India.
13. Modifications to Terms
We reserve the right to amend these Terms of Service as our software evolves. Changes will be posted to this URL with a revised effective date. Continued use of DukanBILL after publication of amended terms constitutes acceptance of the revised terms.
